These Terms govern your access to and use of Partner Counsel's websites, services, and tools. Please read them carefully — especially the sections explaining that use of this site does not create an attorney-client relationship and does not constitute legal advice.

1. Acceptance of Terms

These Terms of Service (the "Terms") govern your access to and use of the websites, services, content, and tools offered by Partner Counsel and Partner Counsel AI (collectively, "Partner Counsel," "we," "us," or "our"), including any subdomains and successor properties (the "Services").

By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy and AI Policy, which are incorporated by reference. If you do not agree, do not access or use the Services.

2. No Attorney-Client Relationship

Use of the Services does not create an attorney-client relationship between you and Partner Counsel, any contributing attorney, or any affiliated law firm. An attorney-client relationship is formed only upon: (i) execution of a written engagement letter signed by you and an authorized attorney; (ii) payment of any required retainer or fee; and (iii) confirmation in writing from us that the engagement has commenced.

Until all three conditions are met, no communications, intake submissions, document uploads, scheduled calls, or other interactions—whether through this website, email, calendar tools, or otherwise—shall be deemed to establish an attorney-client relationship or create any obligation on our part to provide legal services.

4. Jurisdictional Scope

Partner Counsel operates as an attorney-led service. Legal work performed through the Services is handled by attorneys who maintain active bar admissions in the jurisdictions in which they provide legal services. We do not practice law in any jurisdiction in which the assigned attorney is not licensed.

If a matter requires representation in a jurisdiction in which our attorneys are not admitted, we will either (i) decline the engagement, (ii) refer the matter to properly admitted counsel, or (iii) associate with local counsel where permitted by applicable rules of professional conduct.

5. Intake Submissions

You may submit information about a potential matter through our intake forms, email, or scheduling tools. Such submissions are received as prospective-client communications.

We treat prospective-client information as confidential consistent with applicable rules of professional conduct, but submission of an intake does not, by itself, create an attorney-client relationship (see Section 2). We may decline to accept any matter, in our sole discretion, including on grounds of conflict of interest, jurisdictional scope, capacity, or otherwise.

6. Fees and Engagement

Fees for legal services are not established by this website. Any pricing referenced on the Services is indicative only. Fees, scope of representation, retainer requirements, billing arrangements, and termination rights are governed exclusively by a written engagement letter executed between you and the engaged attorney.

7. Use of Artificial Intelligence

Partner Counsel uses artificial intelligence ("AI") tools to support drafting, research, and operational functions. All AI-assisted output is reviewed and approved by a licensed attorney before delivery. Our use of AI is described in detail in our AI Policy, which is incorporated into these Terms by reference.

8. Sample Documents and Library Content

Sample documents, clauses, and library materials made available through the Services are provided for illustrative and educational purposes only. They are not for execution, are not tailored to your specific facts or jurisdiction, and may not reflect current law. Use of any sample document outside an executed engagement is at your own risk and without warranty of any kind.

9. Intellectual Property

All content on the Services—including text, graphics, logos, document templates, clause libraries, the "Partner Counsel" and "Partner Counsel AI" marks, and the organization, structure, and design of the Services—is owned by or licensed to Partner Counsel and is protected by intellectual property laws.

You may not copy, reproduce, distribute, publish, modify, create derivative works from, or commercially exploit any portion of the Services without our prior written consent, except that you may view, print, or download individual pages for personal, non-commercial reference.

10. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose or in violation of these Terms;
  • Attempt to gain unauthorized access to any portion of the Services or any related systems;
  • Interfere with, disrupt, probe, scan, or test the vulnerability of the Services;
  • Scrape, harvest, or collect content or data from the Services by automated means without our prior written consent;
  • Upload or transmit any material that is unlawful, harmful, defamatory, infringing, or that you do not have the right to share;
  • Use the Services to send unsolicited communications or to impersonate any person or entity.

11. Third-Party Services and Links

The Services may contain links to, or integrate with, third-party services (such as scheduling tools, payment processors, email providers, and analytics platforms). We do not control those services and are not responsible for their content, policies, or practices. Your use of third-party services is governed by the terms and privacy policies of those third parties.

12. Disclaimers

THE SERVICES AND ALL CONTENT MADE AVAILABLE THROUGH THEM ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

Without limiting the foregoing, Partner Counsel makes no representation or warranty that any sample document, article, or informational tool is current, accurate, or appropriate for any particular matter or jurisdiction.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, PARTNER COUNSEL AND ITS AFFILIATES, CONTRIBUTING ATTORNEYS, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SERVICES.

Nothing in these Terms limits or excludes any liability that cannot lawfully be limited or excluded, including any liability arising under applicable rules of professional conduct in connection with services actually rendered under an executed engagement letter.

14. Indemnification

You agree to indemnify, defend, and hold harmless Partner Counsel and its affiliates, contributing attorneys, officers, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to (i) your breach of these Terms, (ii) your misuse of the Services, or (iii) your violation of any law or the rights of any third party.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the state in which Partner Counsel maintains its principal place of business, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in that jurisdiction, and the parties consent to the personal jurisdiction of such courts.

Nothing in this Section limits the application of mandatory rules of professional conduct of any jurisdiction in which legal services are actually rendered.

16. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Material changes will be communicated through the Services or by reasonable means. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms.

17. Severability and Entire Agreement

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. These Terms, together with our Privacy Policy and AI Policy (and any executed engagement letter governing actual legal services), constitute the entire agreement between you and Partner Counsel with respect to the Services.
